These Terms and Conditions (“Terms,” “Agreement”) govern your access to and use of www.us.khaadi.com (the “Site”) operated by Weaves US Trading Inc., a Delaware corporation with its registered office at 920 North King Street, 2nd Floor, Wilmington, New Castle County, Delaware 19801 (“Khaadi,” “we,” “us,” or “our”). By accessing, browsing, registering on, or purchasing from the Site, you (“you,” “Customer,” or “Buyer”) agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Site.

1. ELIGIBILITY & ACCEPTANCE
You represent that you are at least 18 years of age and capable of forming a legally binding contract. Acceptance occurs when you click an “I Agree” checkbox, create an account, place an order, or otherwise use the Site.

2. ACCOUNT REGISTRATION
To purchase products, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

3. PRODUCTS & ORDERS
The Site allows you to browse and purchase clothing and accessories (“Products”).
• All orders constitute an offer to purchase.
• We reserve the right to accept or reject any order at our discretion.
• Prices, availability, descriptions, and images are subject to change without notice.
• Please bear in mind that, due to technical issues or other matters beyond our control, the colors, textures and sizes may differ to those shown on screen.

4. PRICING, TAXES & DUTIES
Prices are listed in U.S. Dollars unless stated otherwise.
• Applicable sales tax will be added at checkout where required by law.
• Customs duties, import taxes, or clearance fees for international shipments are the sole responsibility of the Customer.
• Khaadi has no control over such charges and shall not be liable for them.

5. SHIPPING & DELIVERY
Delivery timelines are estimates only. Khaadi is not responsible for delays caused by carriers, customs authorities, or events beyond reasonable control.

6. THIRD-PARTY SERVICES
The Site may reference or link to third-party services or vendors. Khaadi does not control and is not responsible for third-party products, services, or content. Any dealings with third parties are solely between you and the third party. If you visit, use, or shop at the site (or any future site operated by the company), you accept these terms and conditions. In addition, when you use any current or future services of the company or visit or purchase from any business affiliated with the company or third party vendors, whether or not included in the site, you will also be subject to the guidelines and conditions applicable to such service or third-parties.

7. MARKETING COMMUNICATIONS
By creating an account or placing an order, you consent to receive transactional and promotional communications from us in accordance with applicable law.
• You may opt-out of promotional emails at any time via the unsubscribe link.
• Opting out does not affect transactional or service-related communications i.e. even after opt-out emails shall be sent to your email address related to your order(s).

8. INTELLECTUAL PROPERTY
All content on the Site, including trademarks, logos, images, text, and designs, is owned by or licensed to Khaadi and protected under U.S. and international intellectual property laws. Unauthorized use is strictly prohibited and infringement and illegal usage shall be subject to penalties.

9. DISCLAIMERS OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” KHAADI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KHAADI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA. KHAADI’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM(S).

11. INDEMNIFICATION
You agree to indemnify and hold harmless Khaadi, its officers, directors, employees, and affiliates from any claims arising from your breach of these Terms or misuse of the Site.

12. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, unless required by law otherwise.

13. MODIFICATIONS TO THE TERMS OF USAGE
We may update these Terms from time to time. Material changes that reduce your rights or increase obligations will be notified at least 30 days in advance. If the revised version of this Agreement includes a Substantial Change, we will provide you with 30 days' prior notice of such Substantial Change as per the Notification Preferences provided by you. You are advised to regularly check for any amendments or updates to the terms and conditions contained in this Agreement. For the purpose of this Agreement, the term "Substantial Change" means a change to the terms of this Agreement that materially reduces your rights or increases your responsibility. Continued use of the Site constitutes acceptance of the revised Terms.

14. TERMINATION
We may suspend or terminate your access to the Site at any time for violation of these Terms or applicable law.

15. SEVERABILITY
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

16. REFUND LIMITATIONS
Any product which is damaged or not in the same condition as you received will not be refunded. You should therefore take reasonable care of the product or products while they are in your possession.
